How to Register a Business in Kenya

Registering a business has been simplified in Kenya after the Registrar of Companies developed an online platform, the eCitizen, where individuals can easily register their companies.

The eCitizen portal has simplified the cost of traveling because no one has to travel anymore to do the application process.

In the platform, individuals are allowed to do the entire process from name search to actual registration.

Business Name Search

You are required to log in to the eCitizen account. You can always register an account if you don’t have one, press the sign up button and follow the procedure.

Once you are logged in, you will see various government agencies on the display.

From the various options, you are required to click on the Business Registration Service button

You will be taken to a page where you will be required to register your business name.

Put your desired name and any other relevant information needed.

Each name such will cost you KSh 150. You can pay the fee using M-Pesa, Debit/credit/prepaid cards or eCitizen agent.

The name search results are usually available on the portal within one or two business days.

Once your business name is approved, you can now move on to register your business.

What you must have

You are required to have the below documents in order to successfully register your business.

A completed registration form CR1 (available for download on the portal).

Statement of capital.

Memorandum and article of association.

Shareholders details; you will be required to upload scanned copies of ID card/passport, KRA PIN certificate and recent colored passport photographs. The directors/shareholders have to be registered on the iTax platform.

Physical residential address of directors.

Registration Fees

The different types of businesses provided by the government through the eCitizen portal have unique fees for registration.

  • Reservation and Registration of Business Name: Ksh 950
  • Limited Liability Partnership: Ksh 25,000
  • Private Limited Company: Ksh 10,650
  • Public Limited Company: Ksh 10,650
  • Unlimited Companies: Ksh 20,050
  • Company Limited by Guarantee: Ksh 3,000 (1-25 members), Ksh 7,500 (26-100 members), Ksh 15,000 (Over 100 members) + additional Ksh 2000 for each additional 50 members.
